Chairman’s Statement (Continued) 主席報告書 （續） Tradelink Electronic Commerce Limited Annual Report 2018 10 股息 一如既往，我們以股東權益為至上。在決定派發 予股東的股息金額時，本公司董事會（「董事會」） 已考慮到於計算可分派溢利時於二零一八年十二 月三十一日所持有從企業債券產生的公允價值儲 備負結餘港幣 17,200,000 元（視為已變現虧損項 目）。根據公司條例，股東應佔溢利與可分派予股 東溢利之間有差異。因此，根據本集團於二零 一 八 年 十 二 月 三 十 一 日 的 可 分 派 溢 利 港 幣 47,900,000 元計算，董事會決定建議派發本集團 的可分派溢利接近 100% 及派發末期股息每股 6.0 港仙。連同二零一八年已派付的中期股息每股 3.5 港仙，二零一八年度股息將合共每股 9.5 港仙，與 二零一七年度總股息相同。 致意 最後，本人謹此感謝過去一年股東及董事會成員 對本集團之一貫鼎力支持以及員工之竭誠付出。 主席 李乃熺博士， S.B.S., J.P. 香港，二零一九年三月二十六日 Dividends As always, shareholders’ interests are our priority. In deciding the amount of dividend to distribute to shareholders, the board of directors of the Company (“Board”) had calculated the distributable profits taking into account the negative balance of the fair value reserve amounted to HK$17.2 million arising from the corporate bonds held by the Group at 31 December 2018, which is deemed to be a realised loss item. According to the Companies Ordinance, there is a difference between profit attributable to shareholders and profit distributable to shareholders. As such, based on the Company’s distributable profits in the amount of HK$47.9 million as at 31 December 2018, the Board has decided to recommend a close to 100% pay-out of the distributable profits of the Group and a final dividend of HK 6.0 cents per share. Together with the 2018 interim dividend of HK 3.5 cents per share already paid, the total dividend for 2018 would be HK 9.5 cents per share, which is on a par with the total dividend for 2017.
