20 Tradelink Electronic Commerce Limited  Interim Report 2019 Corporate Governance (Continued) 企業管治 （續） 附註： (1) 鄭俊聰先生因其他事先約定事務而未能出席二零一九年 六月十一日的董事會會議。 (2) 袁永生先生因海外事務而未能出席二零一九年六月十一 日的董事會會議。 (3) 周德熙先生因其他事先約定事務而未能出席二零一九年 六月十一日的董事會會議。 上市發行人董事進行證券交易的標準守則（「標 準守則」） 本公司已採納標準守則，在向全體董事作出具體查詢後 確認，於截至二零一九年六月三十日止六個月，全體董 事一直遵守標準守則所載規定標準。 審核委員會 截至二零一九年六月三十日止六個月的中期業績及中期 財務報告雖未經審核，惟已由本公司外聘核數師畢馬威 會計師事務所及本公司審核委員會審閱。 根據上市規則第 13.51B(1) 條董事的資料變動 除自二零一九年一月一日起，非執董的基本董事袍金由 每年港幣 70,000 元改為每年港幣 100,000 元及獨董的基本 董事袍金由每年港幣 220,000 元改為每年港幣 240,000 元 外，本公司董事資料自二零一八年年報刊發之日起至本 報告日期概無變動。上一次非執董及獨董的基本董事袍 金分別於二零一零年及二零一四年調升。 Notes: (1) Mr. CHENG Chun Chung, Andrew was unable to attend the Board meeting on 11 June 2019 due to other prior business commitment. (2) Mr. YUEN Wing Sang, Vincent was unable to attend the Board meeting on 11 June 2019 due to overseas engagement. (3) Mr. CHAU Tak Hay was unable to attend the Board meeting on 11 June 2019 due to other prior business commitment. Model Code for Securities Transactions by Directors of Listed Issuers (the “Model Code”) The Company has adopted the Model Code and, having made specific enquiry of all Directors, confirms that all Directors have complied with the required standards as set out in the Model Code throughout the six months ended 30 June 2019. Audit Committee The interim results and the interim financial report for the six months ended 30 June 2019 have not been audited but have been reviewed by the Company’s external auditor, KPMG, and the Audit Committee of the Company. Changes of Directors’ Information Pursuant to Rule 13.51B(1) of the Listing Rules There have been no changes in the information of Directors of the Company since the publication of the 2018 annual report up to the date of this report, save and except that the basic Directors’ fees for NED have been changed from HK$70,000 per annum to HK$100,000 per annum and the basic Directors’ fees for INED have been changed from HK$220,000 per annum to HK$240,000 per annum with effect from 1 January 2019. The last basic Directors’ fee increments for NED and INED were in 2010 and 2014 respectively.
