Shareholders may also put forward proposals at general meetings
in accordance with Sections 580 or 615 of the Companies
Ordinance (Cap. 622). Shareholder(s) representing at least 2.5% of
the total voting rights of all the shareholders who have a relevant
right to vote at the general meeting or at least 50 shareholders of
the Company who have a relevant right to vote at the general
meeting may request the Company to circulate statements
regarding resolutions proposed at the general meeting; or request
the Company to circulate resolutions which may properly be
moved and is intended to be moved at the AGM. The requisition
must be authenticated by the shareholder(s) concerned and sent
to the Company in hard copy form or in electronic form where, (i)
in the case of a requisition for the circulation of statements
regarding resolutions proposed at a general meeting, such
requisition must be received by the Company not later than 7
days before the general meeting; or (ii) in the case of a
requisition for the circulation of resolutions to be moved at the
AGM, the requisition must be received by the Company not later
than six weeks before the relevant AGM or if later, the time
when the notice of the AGM is dispatched.
Pursuant to Article 101 of the Company’s Articles of Association,
no person, other than a retiring Director, shall, unless
recommended by the Directors for election, be eligible for election
to the office of Director at any general meeting, unless notice in
writing of the intention to propose that person for election as a
Director and notice in writing by that person of his willingness to
be elected shall have been given to the Company in each case,
during the period (being a period of at least seven days)
commencing on the day after dispatch of the notice of general
meeting at which elections to the office of Director are to be
considered and ending on the day that falls seven days before the
date of the general meeting (both days inclusive). The procedures
for shareholders of the Company to propose a person for election
as a Director are set out in the Corporate Governance Section of
the Company’s website.
